LIBERTY COIN NETWORK MEMBERSHIP AGREEMENT

This Liberty Coin Network Membership Agreement (“Agreement”) governs the terms and conditions of your membership and use of the Liberty Coin Network (“Liberty Coin Network”). By applying for membership on https://libertycoingold.com (“Liberty Coin Network Site”), you acknowledge that you have read, understand, and expressly agree to all terms and conditions contained in this Agreement, the Liberty Coin Purchase, Sale & Use Agreement, the Liberty Coin Collateralization Agreement, the Liberty Coin Network Privacy Agreement, and all other terms and conditions contained on the Liberty Coin Network Site.

LIBERTY COIN NETWORK OVERVIEW

1. The Liberty Coin Network, and its various subsidiaries, affiliates, contractors, service providers, other related entities, and assigns (collectively “Affiliated Parties”) on a collective basis facilitate Liberty Coin transactions for members of the Liberty Coin Network.

2. Liberty Coin (“Liberty Coin” or “LC”) is a collateralized asset which transitions from a digital (pre-delivery) Liberty Coin collateralized 1:1 by proven gold-containing ore reserves held in trust to a physical (post-delivery) Liberty Coin containing 1 troy oz. of gold.

3. Any current or future owner of digital (pre-delivery) or physical (post-delivery) Liberty Coins shall be deemed a Liberty Coin Holder while the terms and conditions of this Agreement are in full force and effect (“Liberty Coin Holder”).

4. Liberty Coin’s valuation basis is primarily derived from its value at payoff (final delivery) as established by the price of one (1) troy oz. 99.95% pure gold as quoted on the New York Commodity Exchange (COMEX) on the date of Liberty Coin physical delivery.

5. Liberty Coin’s assurance of ownership and collateralized protection are the pillars of its capacity to protect value over what could be many years.

6. The Liberty Coin Network is operated by and for its members. All prospective Liberty Coin member/owners must be approved by a Liberty Coin Network Membership Review Board prior to purchasing Liberty Coins.

7. The Liberty Coin Network is a for-profit corporation that charges its members transaction fees, account maintenance fees and various other fees and costs to facilitate Liberty Coin transactions and other types of network usage and account related services. Members of the Liberty Coin Network are required to pay for all third-party transactional related fees and costs for each Liberty Coin purchase or sale transaction including bank service charges, credit card processing fees, international transaction fees and other third-party transaction fees and costs.

8. The Liberty Coin Network utilizes industry leading policies and procedures to implement Know Your Customer (KYC), U.S. Treasury Bank Secrecy Act (“BAC”), Anti-Money Laundering (“AML”), Title III of the U.S. Patriot Act (“Patriot Act”), U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”), and other applicable regulations in jurisdictions in which it may operate for each member admitted to the network, as well as monitoring and re-verification procedures.

9. The Liberty Coin Membership Approval Committee reviews each member applicant prior to admission and subsequent Liberty Coin purchase or sale. Member usage of the Liberty Coin Network is monitored as well as material changes in member financial condition.

10. The primary purpose of the Liberty Coin Network, on behalf of its members, is to facilitate Liberty Coin purchase and sales transactions and usage of member-owned Liberty Coins. Liberty Coins are the only type of asset that can be purchased, sold, owned, transacted or utilized on the Liberty Coin Network.

11. Liberty Coin buy/sell transactions can only occur between approved members of the Liberty Coin Network, including the Liberty Coin Network itself. Each direct member-to-member (peer-to-peer) Liberty Coin buy/sell transaction is reviewed by Transaction Compliance to ensure it conforms to Liberty Coin Network policies and procedures prior to execution.

P A R T 1 : G E N E R A L  U S E

1. BASIC LIBERTY COIN NETWORK SERVICES.

1.1. Eligibility. To be eligible to use the Liberty Coin Network Services, you must be at least 18 years old.

1.2. Liberty Coin Network Services. Your Liberty Coin Network account (“Liberty Coin Network Account”) encompasses the following basic Liberty Coin Network services: one or more Liberty Coin Ownership Ledger and Liberty Coin User Account (“Liberty Coin Network Ownership Ledger and User Account”). You should therefore carefully consider whether transacting or holding Liberty Coins is suitable for you in light of your financial condition and objectives.

2. CREATING A LIBERTY COIN NETWORK ACCOUNT.

2.1. Membership Application and Registration of Liberty Coin Network Account. In order to use any of the Liberty Coin Network Services, you must first apply for Liberty Coin Network membership by fully completing the Liberty Coin Purchase Form and Liberty Coin Network Membership/User Application on the Liberty Coin Network Site at https://libertycoingold.com/new-member-application-page/ and affirming your acceptance of this Agreement and all other documentation and information contained on the Liberty Coin Network Site. Liberty Coin Network may, in our sole discretion, refuse to approve your membership application or allow you to establish a Liberty Coin Network Account, or limit the number of Liberty Coin Network Accounts that a single user may establish and maintain at any time.

2.2. Regulatory Compliance. The Liberty Coin Network is an private association of its Liberty Coin owning members. The Liberty Coin Network utilizes industry leading Know Your Customer (KYC) and Anti-Money Laundering (AML) policies for each member admitted to the network, as well as monitoring and re-verification procedures. The Liberty Coin Membership Approval Committee thoroughly reviews each member applicant prior to admission and each subsequent Liberty Coin purchase or sale. Furthermore, member usage is monitored as well as material changes in member financial condition.

The Liberty Coin Network is an private association operated by and for its members to facilitate direct member-to-member (peer-to-peer) purchases and sales of member owned Liberty Coins, including purchase and sales transactions with the Liberty Coin Network itself. The Liberty Coin Network is a for-profit corporation that charges its members transaction fees, account maintenance fees and various other fees and costs to facilitate Liberty Coin transactions and other types of network usage and account related services. Members of the Liberty Coin Network are required to pay for all third-party transactional related fees and costs for each Liberty Coin purchase or sale transaction including bank service charges, credit card processing fees, international transaction fees and other third-party transaction fees and costs.

The primary mission of world’s securities and banking regulatory agencies is to protect the public, with the vast majority of those jurisdictions applying an established set of industry standard banking and securities policies, regulations and laws based on that of the United States. While Liberty Coins or the Liberty Coin Network do not meet the definition of a security or financial institution, as a matter of policy all aspects of the Liberty Coin Network are designed to conform to globally accepted banking and securities industry standards.

Based on these and other material factors, the Liberty Coin Network is deemed to be exempted from registration or licensing as a securities broker, dealer, exchange or financial institution and accordingly is not registered or licensed with the United States Securities and Exchange Commission (“SEC”) or other local, state, national or international regulatory entity where it may operate. However, given the rapidly evolving regulatory environment, registration or licensure in one or more jurisdictions may be required in the future, where the Liberty Coin Network shall (1) endeavor to promptly comply with any applicable registration and licensing requirements, (2) challenge those requirements that its legal counsel determines are being inappropriately applied, or (3) cease operations in those jurisdictions.

In the event the Liberty Coin Network in its sole discretion determines it cannot legally, economically or operationally comply with any jurisdiction’s applicable regulatory requirements and ceases operations in that particular jurisdiction, all future membership applicants from the affected jurisdictions would be excluded and current members of the Liberty Coin Network from the affected jurisdiction (1) could be required to place their Liberty Coin holdings in an legally compliant third-party controlled escrow or trust account, or (2) potentially be required to liquidate the entirety of their Liberty Coin holdings.

2.3. Identity Verification. In order to be approved for Liberty Coin Network membership and use of the Liberty Coin Network Services, you may be required to provide Liberty Coin Network with certain personal and/or corporate/entity information, including, but not limited to, your name, company name, address, country of citizenship/incorporation, telephone number, e-mail address, website address, date of birth/incorporation, taxpayer identification number, government identification number, your income and net worth in the two most recent years and the current year, anticipated income for the next coming year, and information regarding your source of funds for Liberty Coin purchases. In submitting this or any other personal and/or corporate/entity information as may be required, you verify that the information is accurate and authentic, and you agree to promptly update your Liberty Coin Network Account if any information changes including any material changes in your financial condition. You hereby authorize Liberty Coin Network to, directly or through third parties make any inquiries we consider necessary to verify your identity and/or protect against fraud, money laundering and other criminal activity, including to query identity information contained in public reports (e.g., your name, address, past addresses, or date of birth/incorporation), to query account information associated with your source of funds, and to take action we reasonably deem necessary based on the results of such inquiries and reports. You further authorize any and all third parties to which such inquiries or requests may be directed to fully respond to such inquiries or requests, which includes authorizing your wireless operator and email and internet service provider to assist with our requests. 3. LIBERTY COIN NETWORK ACCOUNT.

3.1. In General. Pursuant to instructions you provide through the Liberty Coin Network Site, your Liberty Coin Network Account allows you to purchase Liberty Coins directly from other approved members of the Liberty Coin Network, including the Liberty Coin Network itself, and sell Liberty Coins to approved members of the Liberty Coin Network, where all transactions are in U.S. dollars (each such purchase or sale transaction is defined as a “Liberty Coin Transaction”). Liberty Coin Network reserves the right to refuse to process or to cancel any pending Liberty Coin Transaction as required by law or in response to a subpoena, court order, or other binding government order or to enforce transaction limits. Liberty Coin Network cannot in most circumstances reverse a Liberty Coin Transaction which has been completed. The Liberty Coin Network Account services are available only in connection with Liberty Coins, no other type of asset is supported on the Liberty Coin Network. Liberty Coin Network assumes no responsibility or liability in connection with any attempt to use Liberty Coin Network Services for assets that Liberty Coin Network does not support.

3.2. Liberty Coin Transactions. Liberty Coin Network processes Liberty Coin Transactions according to the instructions received from its member/users. A Liberty Coin Transaction will be unconfirmed for a period of time pending sufficient confirmation of the transaction by the Liberty Coin Network. A transaction is not complete while it is in a pending state. Funds associated with transactions that are in a pending state will be designated accordingly. Liberty Coin Network reserves the right to delay any Liberty Coin Transaction if it perceives a risk of fraud or illegal activity.

3.3. Liberty Coin Transaction Information & Transmission Delays. Liberty Coin Network securely stores all Liberty Coin Transaction information in our control in a combination of online and offline storage. As a result, it may be necessary for Liberty Coin Network to retrieve certain information from offline storage in order to facilitate a Liberty Coin Transaction in accordance with your instructions, which may delay the initiation or crediting of such Liberty Coin Transaction. You acknowledge and agree that a Liberty Coin Transaction facilitated by Liberty Coin Network may be delayed.

3.4. Third Party Payments. Third party payments are not offered by the Liberty Coin Network.

4. PURCHASE AND SALE TRANSACTIONS.

4.1. General. Liberty Coin Network quoted Liberty Coin buy prices and Liberty Coin sell prices are in U.S. dollars. You acknowledge that the Liberty Coin Network quoted Liberty Coin buy price may not be the same as the quoted Liberty Coin sell price at any given time. You agree, as a condition of using any Liberty Coin Network Services, to accept the quoted Liberty Coin buy price and sell price shown on the Liberty Coin Network Site at https://libertycoingold.com/liberty-coin-prices/ as the sole pricing metric for the applicable day a transaction is consummated. Liberty Coin Network reserves the right to delay any Liberty Coin purchase or sale transaction if it perceives a risk of fraud, money laundering or illegal activity. Liberty Coin Network does not guarantee the availability of its Liberty Coin purchase and sale facilitation services, and the act of purchasing Liberty Coins from other Liberty Coin Network members, and the Liberty Coin Network itself, does not result in a guarantee that you may sell your Liberty Coins on the Liberty Coin Network to other of its members.

4.2. Purchase Transactions. After successfully completing the identity verification and Liberty Coin Network membership approval process, you may purchase Liberty Coins via direct member-to-member (peer-to-peer) transactions, including those with the Liberty Coin Network itself. As of the Update Date shown above, purchase payments (debits) are currently made using Liberty Coin Network purchase orders for all Liberty Coin purchase transactions, where you retain all authority over each transaction and any related PayPal accounts, bank accounts, debit cards and/or credit cards you utilize for your Liberty Coin transactions. Although Liberty Coin Network will attempt to deliver purchased Liberty Coins to you as promptly as possible, funds may be debited from your selected payment method before Liberty Coins are delivered to your Liberty Coin Network Account. Your selected payment method, such as your PayPal account, bank account, debit or credit card, may be debited as soon as the same day you initiate the purchase but your payment may take one or more days to process. Depending on where you and the Liberty Coin Network member-seller are located (e.g. country of residence) the transaction processing time could take several days. The Liberty Coin Network will facilitate all member-to member (peer-to-peer) purchase transactions on a best efforts basis. All Liberty Coin purchase transactions are in U.S. dollars. Liberty Coin can in certain situations be purchased with domestic and foreign currency. Physical currencies accepted include USD and a wide range of foreign currencies (including in-country payment collection to comply with any applicable currency controls) subject to certain limitations. Contact Liberty Coin for additional information regarding cash purchases.

4.3. Sale Transactions. After successfully completing the identity verification and Liberty Coin Network membership approval process, you may sell Liberty Coins via direct member-to-member (peer-to-peer) transactions, including transactions with the Liberty Coin Network itself. As of the Update Date shown above, sales receipts (credits) are currently made using Liberty Coin Network sales orders for all Liberty Coin sales transactions, where you retain all authority over each transaction and any related PayPal accounts or bank accounts you utilize for your Liberty Coin transactions. Although Liberty Coin Network will attempt to deliver the net sale proceeds from your Liberty Coin sale to you as promptly as possible, Liberty Coins may be deducted from your Liberty Coin Network Account before funds may be credited to your selected PayPal or bank account. Depending on where you and the Liberty Coin Network member-purchaser are located (e.g. country of residence) the transaction processing time could take several days. Additional transaction time is required depending on any applicable sales restrictions and the volume of sell orders relative to the number of purchase orders. The Liberty Coin Network will facilitate all member-to-member (peer-to-peer) sell transactions on a best efforts basis. All Liberty Coin sales transactions are in U.S. dollars.

4.4. Liberty Coin Buy/Sell Order Imbalances. The Liberty Coin Network is currently at an early stage of its projected growth cycle. All Liberty Coin transactions are on a direct member-to-member (peer-to-peer) basis, including the Liberty Coin Network itself, with no broker/dealer to intervene to smooth out buy/sell order volatility or imbalances between buy and sell order volume. This means a backlog of sell orders can be created, this is true even in established, high-volume markets which do not have broker/dealers to intervene. In situations where there is a high ratio of Liberty Coin sell orders to buy orders and overall Liberty Coin transactional volume is low it could potentially take one or more days to execute a particular sell order. This is the current situation facing Liberty Coin sellers as of the Update Date shown at the top of this Agreement, and will likely continue to be the situation until transactional buy volume increases as projected and Liberty Coin sell order execution time diminishes.

4.5. Fees and Costs. The Liberty Coin Network is a for-profit corporation that charges its members transaction fees, account maintenance fees and various other fees and costs to facilitate Liberty Coin transactions and other types of network usage and account related services. Members of the Liberty Coin Network are required to pay for all third-party transactional related fees and costs for each Liberty Coin purchase or sale transaction including bank service charges, credit card processing fees, international transaction fees and other third-party transaction fees and costs.

Liberty Coin Network reserves the right to adjust its internal and third-party fee structure and any applicable discounts or waivers at any time and without limitation. We will notify you of any Liberty Coin Network internal fees and third-party fees which apply to your transaction when you authorize the transaction and in each Liberty Coin Network purchase or sale invoice, notice or confirmation we issue to you.

4.6. Reversals; Cancellations. You cannot cancel, reverse, or change any transaction that has been completed. If your payment is not successful or if your payment method has insufficient funds, you authorize Liberty Coin Network, in its sole discretion, to cancel the transaction or attempt to reprocess the transaction. You are responsible for maintaining an adequate balance and/or sufficient credit limits in order to avoid overdraft, NSF, or similar fees charged by your payment provider. Liberty Coin Network reserves the right to refuse to process, or to cancel or reverse, any purchases or sales of Liberty Coins in its sole discretion, even after funds have been debited from your account(s), if Liberty Coin Network suspects the transaction involves (or has a high risk of involvement in) money laundering, terrorist financing, fraud, or any other type of crime or illegal activity; in response to a subpoena, court order, or other government order; if Liberty Coin Network reasonably suspects that the transaction is erroneous; or if Liberty Coin Network suspects the transaction relates to Prohibited Use or a Prohibited Business as set forth below; or if Liberty Coin Network believes the transaction violates any Liberty Coin Network policy, procedure or rule contained in this Liberty Coin Network Membership Agreement, the Liberty Coin Purchase, Sale & Use Agreement, the Liberty Coin Privacy Agreement or the Liberty Coin Network Site. In such instances, Liberty Coin Network will reverse the transaction and we are under no obligation to allow you to reinstate a purchase or sale order at the same Liberty Coin Network quoted price or on the same terms as the cancelled transaction.

4.7. Payment Processors. Liberty Coin Network uses third-party payment processors, including PayPal, to process Liberty Coin purchase transactions using cash, debit cards and credit cards. Purchases can also be made by a bank wire or ACH transfer.

5. GENERAL USE, PROHIBITED USE, AND TERMINATION.

5.1. Limited License. We grant you a limited, nonexclusive, nontransferable license, subject to the terms of this Agreement, to access and use the Liberty Coin Network Site, and related content, materials, information (collectively, the “Content”) solely for approved purposes as permitted by Liberty Coin Network from time to time. Any other use of the Liberty Coin Network Site or Content is expressly prohibited and all other right, title, and interest in the Liberty Coin Network Site or Content is exclusively the property of Liberty Coin Network and its licensors. You agree you will not copy, transmit, distribute, sell, license, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Content, in whole or in part. “libertycoingold.com”, “Liberty Coin Network”, “Liberty Coin” and all logos related to the Liberty Coin Network Services or displayed on the Liberty Coin Network Site are either trademarks or registered marks of Liberty Coin Network or its licensors. You may not copy, imitate or use them without Liberty Coin Network’s prior written consent.

5.2. Website Accuracy. Although we intend to provide accurate and timely information on the Liberty Coin Network Site, the Liberty Coin Network Site (including, without limitation, the Content) may not always be entirely accurate, complete or current and may also include technical inaccuracies, omissions or typographical errors. In an effort to continue to provide you with complete and accurate information, information may be changed or updated from time to time without notice, including without limitation information regarding membership, Liberty Coins, usage, policies, products and services. Accordingly, you should independently verify all information before relying on it. Decisions based on information contained on the Liberty Coin Network Site are your sole responsibility and we shall have no liability for such decisions. Links to third-party materials including without limitation websites and non-downloadable, downloadable information including information related to individual mines, mine portfolios and/or rare earths and precious and non-precious metals and minerals may be provided as a convenience. You acknowledge and agree that we are not responsible for or liable for any aspect of the information, content, or services contained in any third-party materials or on any third-party sites accessible or linked to the Liberty Coin Network Site.

5.3. No Third-Party Applications. To maximize security no third-party applications can be connected to your Liberty Coin Network Account, either through a third party’s product or service or through the Liberty Coin Network Site directly.

5.4. Prohibited Use. In connection with your use of the Liberty Coin Network Services, and your interactions with other users, and third parties that represent you will not engage in any Prohibited Business or Prohibited Use defined herein. We reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, sanctions programs, legal process or governmental request. We reserve the right to cancel and/or suspend your Liberty Coin Network Account and/or block transactions or freeze funds immediately and without notice if we determine, in our sole discretion, that your Account is associated with a Prohibited Use and/or a Prohibited Business.

5.5. Transaction Limits. The use of all Liberty Coin Network Services is subject to a limit on the amount of purchase or sales transaction volume, stated in U.S. Dollar (USD) terms, you may transact or transfer in a given time period (limits are typically set on a daily or monthly basis). To view your current purchase and sale limits, review the Liberty Coin Purchase Agreement in the Documents section of the Liberty Coin Network Site, your online account, and any purchase or sale invoices or notices that set transaction limitations. Transaction limits may vary depending on your payment method, verification steps you have completed, and other factors. Liberty Coin Network reserves the right to change applicable limits as we deem necessary in our sole discretion. If you wish to raise your purchase or sale transaction limits beyond the posted amounts, you may submit a request at [email protected]. We may require you to submit additional information about yourself or your business, provide records, and arrange for online meetings with Liberty Coin Network staff or contractors (“Enhanced Due Diligence”). Liberty Coin Network reserves the right to charge you costs and fees associated with Enhanced Due Diligence, provided that we notify you in advance of any such charges accruing. In our sole discretion, we may refuse to raise your limits or we may lower your limits at a subsequent time even if you have completed Enhanced Due Diligence.

5.6. Suspension, Termination, and Cancellation. Liberty Coin Network may: (a) suspend, restrict, or terminate your access to any or all of the Liberty Coin Network Services, and/or (b) deactivate or cancel your Liberty Coin Network Account if:

• We are so required by a facially valid subpoena, court order, or binding order of a government authority; or

• We reasonably suspect you of using your Liberty Coin Network Account in connection with a Prohibited Use or Business; or

• We reasonably suspect you of using your Liberty Coin Network Account in connection with fraud, money laundering, a crime or other illegal activity; or

• Use of your Liberty Coin Network Account is subject to any pending litigation, investigation, or government proceeding and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account activity; or

• Our service and payment processing partners are unable to support your use; or

• You take any action that Liberty Coin Network deems as circumventing Liberty Coin Network’s controls, including, but not limited to, opening multiple Liberty Coin Network Accounts without prior authorization.

• You take any action that Liberty Coin Network believes violates any Liberty Coin Network policy, procedure, or rule contained in this Liberty Coin Network Membership Agreement, the Liberty Coin Purchase, Sale & Use Agreement, the Liberty Coin Collateralization Agreement, the Liberty Coin Privacy Agreement, or the Liberty Coin Network Site.

If Liberty Coin Network suspends or closes your Liberty Coin Network Account, or terminates your use of Liberty Coin Network Services for any reason, we will provide you with notice of our actions unless a court order or other legal process prohibits Liberty Coin Network from providing you with such notice. You acknowledge that Liberty Coin Network’s decision to take certain actions, including limiting access to, suspending, or closing your Liberty Coin Network Account, may be based on confidential criteria that are essential to Liberty Coin Network’s risk management and security protocols. You agree that Liberty Coin Network is under no obligation to disclose the details of its risk management and security procedures to you.

You will be permitted to transfer your Liberty Coin holdings for ninety (90) days after Liberty Coin Network Account deactivation or cancellation unless such transfer is otherwise prohibited (i) under the law, including but not limited to applicable sanctions programs, or (ii) by a facially valid subpoena or court order. You may cancel your Liberty Coin Network Account at any time by visiting the Liberty Coin Network Site. You will not be charged for canceling your Liberty Coin Network Account, although you will be required to pay any outstanding amounts owed to Liberty Coin Network. You authorize us to cancel or suspend any pending transactions at the time of cancellation.

5.7. Relationship of the Parties. Liberty Coin Network is an independent contractor for all purposes. Nothing in this Agreement shall be deemed or is intended to be deemed, nor shall it cause, you and Liberty Coin Network to be treated as partners, joint ventures, or otherwise as joint associates of any type, or either you or Liberty Coin Network to be treated as the agent of the other.

5.8. Privacy of Others; Marketing. If you receive information about another user through the Liberty Coin Network Services, you must keep the information confidential and only use it in connection with the Liberty Coin Network Services. You may not disclose or distribute a user’s information to a third party or use the information except as reasonably necessary to effectuate a transaction and other functions reasonably incidental thereto such as support, reconciliation and accounting unless you receive the user’s express consent to do so. You may not send unsolicited email to a user through the Liberty Coin Network Services.

5.9. Password Security; Contact Information. You are responsible for maintaining adequate security and control of any and all account IDs, passwords, hints, personal identification numbers (PINs), API/user access keys or any other user access codes that you use to access the Liberty Coin Network Services. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorized access to your Liberty Coin Network Account by third-parties and the loss or theft of any Liberty Coins and any associated accounts, if any. You are responsible for keeping your email address and telephone number up to date in your Liberty Coin Network Account in order to receive any notices or alerts that we may send you. We assume no responsibility for any loss that you may sustain due to compromise of account credentials due to no fault of Liberty Coin Network and/or failure to follow or act on any notices or alerts that we may send to you. 5.10. Taxes. It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the Liberty Coin Network Services, and to withhold, collect, report and remit the correct amounts of taxes to the appropriate tax authorities. Your complete Liberty Coin transaction history is available on your online Liberty Coin Network Account, which is designed to provide sufficient detail to determine your estimated tax liability (if any).

5.11. Unclaimed Property. If Liberty Coin Network is holding Liberty Coins in your account, and Liberty Coin Network is unable to contact you and has no record of your use of the Liberty Coin Network Services for several years, applicable law may require Liberty Coin Network to report these Liberty Coins as unclaimed property to the applicable jurisdiction. If this occurs, Liberty Coin Network will try to locate you at the address shown in our records, but if Liberty Coin Network is unable to locate you, it may be required to deliver any remaining Liberty Coins in the account to the applicable state or jurisdiction as unclaimed property.

6. CUSTOMER FEEDBACK, QUERIES, COMPLAINTS, AND DISPUTE RESOLUTION

6.1. Contact Liberty Coin Network. If you have any feedback, questions, or complaints, contact us at Liberty Coin Network Customer Support [email protected].

When you contact us, please provide us with your account ID, name, address, your Liberty Coin Network Account number, and the transaction amount, and date on which you have feedback, questions, or complaints. If you believe your account has been compromised, you may also report your claim at [email protected] and by calling 775.295.5482.

7. GENERAL PROVISIONS.

7.1. Computer Viruses. We shall not bear any liability, whatsoever, for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms or other malware that may affect your computer or other equipment, or any phishing, spoofing or other attack, without limitation. We advise the regular use of a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should use care in reviewing messages purporting to originate from Liberty Coin Network. Please contact us at Liberty Coin Network Customer Support [email protected] in the event you receive any questionable or suspicious emails or notifications.

7.2. Release of Liberty Coin Network; Indemnification. If you have a dispute with one or more users of the Liberty Coin Network services including but not limited to other Liberty Coin Network member Liberty Coin owners, buyers or sellers, including any Liberty Coin purchase or sale transactions in which you have participated, you release Liberty Coin Network, its affiliates and service providers, and each of their respective officers, directors, agents, joint venturers, employees, representatives, and independent contractors from any and all claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. You agree to indemnify and hold Liberty Coin Network, its affiliates and Service Providers, and each of its or their respective officers, directors, agents, joint venturers, employees, representatives, and independent contractors harmless from any claim or demand (including attorneys’ fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to your breach of this Agreement or your violation of any law, rule or regulation, or the rights of any third party.

7.3. Limitation of Liability; No Warranty. IN NO EVENT SHALL LIBERTY COIN NETWORK, ITS AFFILIATES AND SERVICE PROVIDERS, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURERS, EMPLOYEES, REPRESENTATIVES, OR INDEPENDENT CONTRACTORS BE LIABLE (A) FOR ANY AMOUNT GREATER THAN THE VALUE OF THE LIBERTY COINS IN YOUR LIBERTY COIN NETWORK ACCOUNT OR (B) FOR ANY LOST PROFITS OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH AUTHORIZED OR UNAUTHORIZED USE OF THE LIBERTY COIN NETWORK SITE OR THE LIBERTY COIN NETWORK SERVICES, OR THIS AGREEMENT, EVEN IF AN AUTHORIZED REPRESENTATIVE OF LIBERTY COIN NETWORK HAS BEEN ADVISED OF OR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. THIS MEANS, BY WAY OF EXAMPLE ONLY (AND WITHOUT LIMITING THE SCOPE OF THE PRECEDING SENTENCE), THAT IF YOU CLAIM THAT LIBERTY COIN NETWORK FAILED TO PROCESS A BUY OR SELL TRANSACTION PROPERLY, YOUR DAMAGES ARE LIMITED TO NO MORE THAN THE VALUE OF THE LIBERTY COINS AT ISSUE IN THE TRANSACTION, AND THAT YOU MAY NOT RECOVER FOR LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR OTHER TYPES OF SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES IN EXCESS OF THE PURCHASE PRICE PAID FOR THE LIBERTY COINS AT ISSUE IN THE TRANSACTION.

THE LIBERTY COIN NETWORK SERVICES ARE PROVIDED ON AN “AS IS”, “WHERE IS”, AND “AS AVAILABLE” BASIS WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIBERTY COIN NETWORK SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. LIBERTY COIN NETWORK DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT ACCESS TO THE SITE, ANY PART OF THE LIBERTY COIN NETWORK SERVICES, OR ANY OF THE MATERIALS CONTAINED THEREIN, WILL BE CONTINUOUS, UNINTERRUPTED, TIMELY, OR ERROR-FREE.

Liberty Coin Network makes no representations about the accuracy or completeness of current or historical Liberty Coin price quotes and other data available on the Liberty Coin Network Site or Liberty Coin User Accounts. Liberty Coin Network will make reasonable efforts to ensure that requests for Liberty Coin purchase and sale orders are processed in a timely manner but Liberty Coin Network makes no representations, assurances or warranties regarding the amount of time needed to complete processing which is dependent upon multiple factors outside of our control.

7.4. Entire Agreement. This Agreement, the Privacy Policy, E-Sign Consent, and Appendices incorporated by reference herein comprise the entire understanding and agreement between you and Liberty Coin Network as to the subject matter hereof, and supersedes any and all prior discussions, agreements and understandings of any kind and every nature between and among you and Liberty Coin Network, including without limitation any prior versions of this Agreement. Section headings in this Agreement are for convenience only, and shall not govern the meaning or interpretation of any provision of this Agreement.

7.5. Amendments. We may amend or modify this Agreement by posting on the Liberty Coin Network Site or emailing to you the revised Agreement, and the revised Agreement shall be effective at such time. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Liberty Coin Network Services and close your account. You agree that we shall not be liable to you or any third party for any modification or termination of the Liberty Coin Network Services, or suspension or termination of your access to the Liberty Coin Network Services, except to the extent otherwise expressly set forth herein.

7.6. Assignment. You may not assign any rights and/or licenses granted under this Agreement. We reserve the right to assign our rights without restriction, including without limitation to any Liberty Coin Network affiliates or subsidiaries, or to any successor in interest of any business associated with the Liberty Coin Network Services. Any attempted transfer or assignment in violation hereof shall be null and void. Subject to the foregoing, this Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns.

7.7. Severability. If any provision of this Agreement shall be determined to be invalid or unenforceable under any rule, law or regulation or any governmental agency, local, state, or federal, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of this Agreement shall not be affected.

7.8. Change of Control. In the event that Liberty Coin Network is acquired by or merged with a third-party entity, we reserve the right, in any of these circumstances, to transfer or assign the information we have collected from you as part of such merger, acquisition, sale, or other change of control.

7.9. Survival. All provisions of this Agreement which by their nature extend beyond the expiration or termination of this Agreement, including, without limitation, sections pertaining to suspension or termination, Liberty Coin Network Account cancellation, general use of the Liberty Coin Network Site, legal actions or disputes with Liberty Coin Network, and general provisions, shall survive the termination or expiration of this Agreement.

7.10. Governing law, Legal Jurisdiction, Fees and Costs, Legal Name. This Agreement, and all rights and obligations hereunder, constitutes the entire agreement between the parties and shall be governed by and construed in accordance with the laws of Nevis, West Indies without application or reference to principles of conflicts of law.

Each party to this Agreement irrevocably agrees that all posting of bonds, legal fees, court costs and costs of collection shall be paid in accordance with the customs and laws of Nevis, West Indies. In the event no applicable Nevis, West Indies customs or laws governing posting of bonds, legal fees, court costs and collection costs that arise under the terms of this Agreement are in existence, each party will be responsible for all of its own expenses, fees, and costs without limitation including all legal fees and court costs it may incur as the result of any dispute, legal action, suit, proceeding or costs of enforcing or collecting any judgment awarded and in no event shall the prevailing party be entitled to reimbursement from the losing party in regard to any costs of its legal action including its bonds, court costs, attorney fees, and costs of enforcing or collecting any judgment awarded.

The legal name of the Liberty Coin Network is Liberty Coin Network Corporation, a for-profit corporation duly authorized and incorporated under the laws of Nevis, West Indies.

7.11. Force Majeure. We shall not be liable for delays, failure in performance or interruption of service or delay in initiating or finalizing Liberty Coin purchase or sale transactions which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil, health, virus, pandemic, or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, other catastrophe or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions of this Agreement.

7.12. English Language Controls. Notwithstanding any other provision of this Agreement, any translation of this Agreement is provided for your convenience. The meanings of terms, conditions and representations herein are subject to definitions and interpretations in the English language only. Any translation provided may not accurately represent the information in the original English language.

7.13. Non-Waiver of Rights. This Agreement shall not be construed to waive rights that cannot be waived under applicable state asset transmission laws.

All Liberty Coin collateral related communication should be directed to [email protected] or 775.295.5482.

APPENDIX 1: PROHIBITED USE, PROHIBITED BUSINESSES AND CONDITIONAL USE

PROHIBITED USE

You may not use your Liberty Coin Network Account to engage in the following categories of activity (“Prohibited Uses”). The specific types of use listed below are representative, but not exhaustive. If you are uncertain as to whether or not your use of Liberty Coin Network Services involves a Prohibited Use, or have questions about how these requirements apply to you, please contact us at [email protected]. By opening a Liberty Coin Network Account, you confirm that you will not use your Account to do any of the following:

• Unlawful Activity: Activity which would violate, or assist in violation of, any law, statute, ordinance, or regulation, sanctions programs administered in the countries and jurisdictions where Liberty Coin Network conducts business, including but not limited to United States Treasury Bank Secrecy Act (“BAC”), Anti-Money Laundering (“AML”) statutes, Title III of the Unites States Patriot Act (“Patriot Act”), the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”), or which would involve proceeds of any unlawful activity; publish, distribute or disseminate any unlawful material or information.

• Abusive Activity: Actions which impose an unreasonable or disproportionately large load on our infrastructure, or detrimentally interfere with, intercept, or expropriate any system, data, or information; transmit or upload any material to the Liberty Coin Network Site that contains viruses, trojan horses, worms, or any other harmful or deleterious programs; attempt to gain unauthorized access to the Liberty Coin Network Site, other Liberty Coin Network Accounts, computer systems or networks connected to the Liberty Coin Network Site, through any means; use Liberty Coin Network Account information of another party to gain unauthorized access to access or use the Liberty Coin Network Site; or transfer your account access or rights to your account to a third party, unless by operation of law or with the express permission of Liberty Coin Network.

• Abuse Other Users: Interfere with another individual’s or entity’s access to or use of any Liberty Coin Network Services; defame, abuse, extort, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others; incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others; harvest or otherwise collect information from the Liberty Coin Network Site about others, including without limitation email addresses, without proper consent.

• Fraud: Activity which operates to defraud Liberty Coin Network, Liberty Coin Network member/users, or any other person; provide any false, inaccurate, or misleading information to Liberty Coin Network.

• Intellectual Property Infringement: Engage in transactions involving items that infringe or violate any copyright, trademark, right of publicity or privacy or any other proprietary right under the law, including but not limited to sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder; use of intellectual property, name, or logo, including use of Liberty Coin Network trade or service marks without express consent from Liberty Coin Network or in a manner that otherwise harms Liberty Coin Network or the Liberty Coin Network brand; any action that implies an untrue endorsement by or affiliation with Liberty Coin Network.

PROHIBITED BUSINESSES

In addition to the Prohibited Uses described above, the following categories of businesses, business practices, and sale items are barred from Liberty Coin Network Services (“Prohibited Businesses”). The specific types of use listed below are representative, but not exhaustive. If you are uncertain as to whether or not your use of Liberty Coin Network Services involves a Prohibited Business, or have questions about how these requirements apply to you, please contact us at [email protected]. By opening a Liberty Coin Network Account, you confirm that you will not use Liberty Coin Network Services in connection with any of following businesses, activities, practices, or items:

• Investment and Credit Services: Securities and mortgage brokers, advisors, dealers, syndicators, underwriters, and related investment services; mortgage consulting, advisory or debt reduction services; credit counseling, advisory or repair; real estate brokers, advisors, developers and investment, ownership and development opportunities; any type of other investment offerings or schemes.

• Restricted Financial Services: Check cashing; bail bonds; collections agencies.

• Intellectual Property or Proprietary Rights Infringement: Sales, distribution, or access to counterfeit music, movies, software, or other licensed materials without the appropriate authorization from the rights holder.

• Counterfeit or Unauthorized Goods: Unauthorized sale or resale of brand name or designer products or services; sale of goods or services that are illegally imported or exported or which are stolen.

• Regulated Products and Services: Marijuana dispensaries and related businesses; sale of alcohol; sale of tobacco, e-cigarettes, and e-liquid; online prescription or pharmaceutical services; age restricted goods or services; weapons and munitions; gunpowder and other explosives; fireworks and related goods; toxic, flammable, and radioactive materials; products and services with varying legal status on a state-by-state or country-by-country basis.

• Drugs and Drug Paraphernalia: Sale of narcotics, controlled substances, and any equipment designed for making or using drugs, such as pipes, bongs, vaporizers, and hookahs.

• Pseudo-Pharmaceuticals: Pharmaceuticals and other products that make health claims that have not been approved or verified by the applicable local and/or national regulatory body.

• Substances designed to mimic illegal drugs: Sale of a legal substance that provides the same effect as an illegal drug (salvia, kratom, etc.).

• Adult Content and Services: Pornography and other obscene materials (including literature, imagery and other media); sites offering any sexually-related services such as prostitution, escorts, pay-per view, adult live chat features.

• Multi-level Marketing: Pyramid schemes, network marketing, and referral marketing programs.

• Unfair, predatory or deceptive practices: Investment opportunities or other services that promise high rewards; Sale or resale of a service without added benefit to the buyer; resale of corporate, institutional or government offerings without authorization or added value; sites that we determine in our sole discretion to be unfair, deceptive, or predatory towards consumers.

• High risk businesses: any businesses that we believe poses elevated financial risk, legal liability, or violates established credit card network or banking standards.

• Money/Currency Services: Third-party money (fiat currency) transmitters, digital and cryptographic currency/asset transmitters; digital and cryptographic currency/asset exchanges, dealers, brokers, market makers or transaction facilitators; gift cards; prepaid cards; sale of in-game currency or asset; act as a payment intermediary or aggregator or otherwise resell any of the Liberty Coin Network Services.

• Games of Skill: Games which are not defined as gambling under this Agreement or by law, but which require an entry fee and/or award a prize of monetary or non-monetary value.

• Gambling: Any business that sells or offers without charge any type of product or service that directly or indirectly could without limitation result in any type of potential monetary or non-monetary fee, reward, award, winnings, gain, bonus, credit, grant, right or gift.

Liberty Coin Network uses multi-level systems and procedures to collect and verify information about you in order to protect Liberty Coin Network and its members from fraudulent users, and to keep appropriate records of Liberty Coin Network’s members and transactions. Your daily, weekly or monthly purchase and sale limits are based on the identifying information and/or proof of identity you provide to Liberty Coin Network.

All Liberty Coin Network membership applications who wish to purchase Liberty Coins at minimum, must:

• Establish a Liberty Coin Network Account by providing certain personal or corporate information including your full name, authenticating your e-mail address, residential address, (if a company) name/title of signer, business address and state/province and country incorporated, date of birth/incorporated, tax ID, statement of income and net worth, country of citizenship, telephone number, answer multiple security questions, state reason/motivation for purchase and accepting all terms and conditions contained in the Liberty Coin Network Membership and User Agreement, Liberty Coin Purchase and Sale Agreement, Liberty Coin Collateralization Agreement, and Liberty Coin Privacy Agreement and all other terms and conditions contained in the Liberty Coin Network Site.

• Liberty Coin Network membership applicants from certain jurisdictions, provinces and countries will be required to submit additional identity related information.

Personal Membership Applicants:

▪ Upon request by the Liberty Coin Network, you agree to promptly provide personal color copies of the following acceptable forms of identification: (1) a valid passport, a valid automobile driver’s license, or a valid photo bearing state/provincial identification card, AND (2) a current utility bill (e.g. telephone, electric, water, cable, internet).

▪ Upon request by the Liberty Coin Network, you agree to promptly provide source of funds verification including bank account and/or debit card or credit card information.

▪ Upon request by the Liberty Coin Network, you agree to promptly provide enhanced identity verification by answering additional questions. The Liberty Coin Network in its sole discretion shall determine the criteria, scope, and depth of any customer verification procedure (including Enhanced Due Diligence) and resulting Liberty Coin Network customer approval or rejection of Liberty Coin Network membership. Corporate Membership Applicants:

▪ In addition to the above personal information for the person submitting the Liberty Coin Network membership application, corporate applicants may also be required to supply various forms of company related financial information.

Notwithstanding these minimum verification procedures for the referenced Liberty Coin Network Services, Liberty Coin Network may require you to provide or verify additional information, or to wait some amount of time after completion of a transaction before permitting you to use any Liberty Coin Network Services and/or before permitting you to engage in transactions beyond certain volume limits. The Liberty Coin Network in its sole discretion shall determine the criteria, scope, and depth of any customer verification procedure (including Enhanced Due Diligence) and resulting Liberty Coin Network customer approval or rejection of Liberty Coin Network membership. This policy describes how Liberty Coin Network delivers communications to you electronically. We may amend this policy at any time by providing a revised version on our website. The revised version will be effective at the time we post it.

Electronic Delivery of Communications: You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, “Communications”) that we provide in connection with your Liberty Coin Network Account and your use of Liberty Coin Network Services.

Communications include:

• Liberty Coin Network Account details, history, transaction receipts, confirmations, ownership ledgers, and any other account or transaction information;

• Legal, regulatory, and tax disclosures or statements we may be required to make available to you; and

• Responses to claims or customer support inquiries filed in connection with your Liberty Coin Network Account.

We will provide these Communications to you by posting them on the Liberty Coin Network Site, emailing them to you at the primary email address listed in your Liberty Coin Network Account, communicating to you via instant chat, and/or through other electronic communication such as text message or mobile push notification.

Hardware and Software Requirements: In order to access and retain electronic Communications, you will need the following computer hardware and software:

• A device with an Internet connection;

You understand and agree that if Liberty Coin Network sends you an electronic Communications but you do not receive it because your primary email address on file is incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive electronic Communications, Liberty Coin Network will be deemed to have provided the Communications to you.
